JAZZEDGE CORP TERMS AND CONDITIONS

1. Welcome to JAZZEDGE CORP sometimes referred to as the "Service." This is your agreement with JAZZEDGE CORP, owner of the JAZZEDGE CORP Website, JAZZEDGE CORP. By shopping at the Website and continuing to use it you agree to be bound by all the terms and conditions of this agreement and any changes we may make from time to time ("Agreement").

2. You may request an exchange on physical products for up to 90 days. If your DVD is faulty, we are happy to give you download access or send a replacement DVD. If you are unhappy with your purchase, we are happy to exchange it for another title. Downloads, subscriptions, memberships and shipping costs are non-refundable. Please sign up for a free basic membership to view the movies before purchasing.

    2a. It is your responsibility to cancel your subscription. Instructions on how to cancel your subscription can be found in the support section.

    2b. Third-party software (software not made by JAZZEDGE CORP) is subject to its own terms and conditions. It is also subject to its own return policy.

3. JAZZEDGE CORP can terminate your membership or access to all or part of the service at any time and for any reason in our sole discretion.

4. You, the subscriber, may incur some fees. Payments may be made by credit card (Visa, Master Card or American Express), debit card, or eCheck/ACH (via PayPal).

5. You authorize us to charge your credit card or other approved payment facility for all costs and charges you lawfully owe, until this Agreement is canceled or terminates. You are responsible for informing Customer Service (jazzsupport@jazzedge.com), available 24 hours 7 days a week, of all actual or apparent breaches of security, lost cards or passwords, or unauthorized use, and remain liable for all uses until we are informed. You understand that JAZZEDGE CORP is a membership service. You will only be billed once for your membership. If you wish to signup for a PayPal subscription, it is your responsibility to cancel that subscription through PayPal.

6. We may monitor your service usage, and use this information as required by any law, regulation or compulsory process or requirement. We also reserve the right to develop consumer research databases based on your use of the service. If we do so, we shall at all times comply with the applicable laws and regulations, including those of the Federal Communications Commission, then in effect.

7. JAZZEDGE CORP is not liable for any damages whatsoever, for or on account of any cause or claim whatsoever, including poor service, beyond the amount paid by or on behalf of you, the subscriber, to JAZZEDGE CORP in the preceding twelve months.

8. All materials appearing throughout JAZZEDGE CORP other than public domain material and electronic messages, is the copyrighted property of JAZZEDGE CORP or of those credited as providers. These materials are strictly for the noncommercial home use of you, the Subscriber, and except as expressly permitted in this Agreement may not be copied, redistributed or used in any way, in whole or part, without the prior written consent of the JAZZEDGE CORP Rights and Permissions Department. Subscriber accepts the Services of the JAZZEDGE CORP Websites "as is, where is" and at Subscriber's own risk. Subscribers are liable for the consequences of their activities and/or their breach of this Agreement notwithstanding termination of services.

9. Subscriber represents and warrants that he or she:
A. will not violate any applicable laws or regulations of any state or federal legislature or regulatory body;
B. will not redistribute the material on the site to anyone, nor permit any minor to view this material nor expose to the material any person who may find it offensive;
C. believes that the materials viewed on the site do not offend the standards of the community in which he resides as to the candid representations of matters of sexuality and appeal to healthy and normal human interests in that regard;
D. will not plagiarize, violate or otherwise infringe upon the trademark, copyright, or any other rights of any person, firm or entity, expressly including libel, slander or invasion of rights of privacy, publicity or "moral rights (droit moral)".
E. will not use screen-capture programs or similar programs to reverse engineer or save movies for later viewing.

10. Subscriber will indemnify JAZZEDGE CORP, its providers and its corporate affiliates and employees against any losses arising out of any claim which if proved true would constitute a breach of any of Subscriber's representations and warranties above.

11. This is our only Agreement. It cannot be modified orally. It is governed by Rhode Island law and any lawsuit arising out of this Agreement, the JAZZEDGE CORP website, JAZZEDGE CORP , and/or the Service may be brought only in courts located in Providence, Rhode Island, USA. JAZZEDGE CORP's delivery of any words or programs is deemed complete at the moment access is provider to the user or subscriber and it is agreed that such access occurs in Providence, Rhode Island. Upon delivery user or Subscriber assumes sole legal responsibility for causing transportation the words and images to any termination for any cause whatever.

13. **FRAUD PREVENTION** International orders may be cancelled if they are large and originate from a free email service such as Hotmail, Gmail, etc. Please understand this is to protect both you and us against credit card fraud. Any fraud will be reported to the appropriate authorities.
